1. Parties & acceptance

These Terms govern access to and use of the KioSnap platform and related services (“Service”) provided by QubeXiq (“Company”, “we”, “us”). By creating an account or using the Service, the business you represent (“Vendor”, “you”) agrees to these Terms.

2. The service

The Service includes: (a) a cloud-hosted digital catalog and storefront with QR ordering; (b) AI-assisted menu/catalog scanning; (c) order and fulfilment management, kitchen, table, POS/kiosk and staff management tools; (d) optional customer accounts for your customers; and (e) features we make generally available from time to time. We may improve or modify features over time.

3. Eligibility & scope

The Service is for business use (B2B) by small businesses — food vendors, bakeries, home-based brands, makers and craft sellers, service providers and similar merchants. You are responsible for the actions of users in your account, including staff members you add.

4. Account & vendor obligations

• Provide accurate business information and keep credentials and staff PINs secure.
• Comply with applicable laws — tax, invoicing, product and food safety, labelling, data protection and consumer protection.
• Do not misuse the Service: no reverse engineering, scraping other vendors' data, spamming, harmful code or unlawful content.
• You are solely responsible for device compatibility, internet connectivity, the data you enter, your prices and taxes, and your own business decisions.

5. Plans, trial & fees

• Paid plans are billed monthly, per our published pricing. Every paid plan begins with a 14-day fully free trial — no payment details required up front. If you do not convert, you are never charged.
• A one-time setup fee of ₹199 is charged when you first convert to a paid plan and covers all future plan changes on your account.
• Subscriptions renew monthly until cancelled. You may cancel, upgrade, downgrade or pause anytime from your dashboard; paused accounts are not charged and retain all data.
• Prices are stated in INR and may change with at least 30 days' notice to existing subscribers.

6. Cancellations & refunds

Cancellation stops future renewals; access continues until the end of the paid period. Refunds are governed by our Refund Policy: a full refund (including the setup fee) is available within 7 days of your first paid charge; after that, payments are non-refundable.

7. AI-generated output

AI menu/catalog scanning is provided as a convenience and may contain errors. You are responsible for reviewing and confirming your menu or catalog before publishing it.

8. Payments between you and your customers

KioSnap does not currently process customer payments. All payment arrangements, refunds and disputes between you and your customers are your responsibility. Where you offer cash on delivery or pay on pickup, collection of payment from the customer is solely your responsibility.

9. Third-party services

Where the Service relies on third parties (hosting, AI providers, analytics, and future integrations such as payment gateways), those services are provided “as available” and governed by their own terms. We are not responsible for their performance, availability or acts/omissions.

10. Data & privacy

We handle data as described in our Privacy Policy. You must obtain any necessary consents from your customers and staff before submitting their personal data to the Service.

11. Intellectual property

We retain all rights in the Service, software, documentation and the KioSnap brand. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your menus, catalogs, photos, branding and business data, and grant us a licence to host, process and display that content solely to provide the Service.

12. Confidentiality

Each party shall protect the other's non-public information with reasonable care and use it only for the purpose of this engagement.

13. Warranties & disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We are not responsible for losses from business decisions, mispricing, compliance failures, third-party outages or internet/connectivity issues.

14. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the fees you actually paid us in the twelve (12) months preceding the event giving rise to liability. We are not liable for indirect, incidental, special, punitive or consequential damages, including lost profits, revenue, data or goodwill.

15. Indemnity

You will defend and indemnify us from claims arising out of your content, unlawful use, or violation of these Terms or applicable law.

16. Suspension & termination

We may suspend or terminate access for non-payment, suspected fraud, security risk or material breach. Upon termination, you should export your data (where available) before access ends; afterwards it is deleted per our Privacy Policy.

17. Governing law & jurisdiction

These Terms are governed by the laws of India. Courts at Ahmedabad, Gujarat shall have exclusive jurisdiction.

18. Changes

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by reasonable notice.
